Terms of Service (Public Offer Agreement)

1. Acceptance of Terms and Legal Nature

This document constitutes a public offer agreement under Articles 633, 634, 641, 642 of the Civil Code of Ukraine and the Law of Ukraine "On Electronic Commerce."

By making a payment through our reseller Paddle.com, the user confirms full and unconditional acceptance of this offer and enters into a legally binding contract with Aimeice Technologies LLC (ТОВ «Аймейс Технолоджі»).

If you do not agree to these Terms, please refrain from using the Service.

2. Service Description

Xliff AI Translator™ provides automated translation of XLIFF files using artificial intelligence.

Main features include:

• Upload and analysis of XLIFF files
• AI-powered translation processing
• Download of translated results
• Access to translation history
• API integration (if available)

3. Registration and Account

To use certain features, you may create an account. You agree to:

• Provide accurate registration information
• Keep credentials secure and confidential
• Be responsible for actions performed under your account
• Notify us promptly of any unauthorized access

4. Acceptable Use

You agree to use the Service lawfully and not to:

• Infringe intellectual-property rights
• Upload malicious or harmful content
• Interfere with or bypass security mechanisms
• Engage in spam, fraud, or any illegal activity

5. Payments and Fees

The Service operates on a subscription model with monthly and annual plans.

All payments are processed by our reseller and Merchant of Record, Paddle.com Market Limited. Paddle is the seller of record, handles payment processing, remits applicable taxes, and manages billing-related inquiries.

• The price of each plan is displayed on the pricing page before payment.
• Subscriptions renew automatically at the end of each billing period until cancelled.
• You are charged at the start of each billing period via Paddle.
• You may cancel at any time; access continues until the end of the paid period.
• Refunds are governed by our Refund Policy and are processed through Paddle to your original payment method.
• Prices are shown in USD; Paddle may convert the amount to your local currency and add applicable taxes (VAT / sales tax).

6. Invoices and Receipts

After each successful payment, Paddle, as Merchant of Record, issues an electronic receipt (invoice) to your email address.

7. Intellectual Property

All intellectual-property rights in the Service, software, and website belong to Aimeice Technologies LLC.

• Users retain ownership of their uploaded materials.
• AI-generated translations are machine-produced and not considered original authored works.
• Use of our trademarks or brand materials without written consent is prohibited.

8. Limitation of Liability

The Service is provided "as is."

We do not guarantee continuous operation or error-free translations.

Our total liability for any claim shall not exceed the amount paid for the corresponding Service.

9. Termination

We may suspend or terminate access to the Service if:

• You violate these Terms
• Payment is not received
• Technical or maintenance issues occur
• Misuse or abuse of the Service is detected

Users may stop using the Service or delete their account at any time.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Ukraine.

All disputes shall be resolved in the competent courts of Ukraine.

For international clients, this agreement remains valid and enforceable worldwide under Ukrainian jurisdiction.
